My 97 bmw 528i is over heating .? what do you think it is ?

Very likely a stuck thermostat. It's an inexpensive repair (relatively). If you let the engine get too hot your engine will crack. Either replace the thermostat yourself or have it towed to a repair shop. DO NOT drive it when it's getting too hot.
